What is a Partnership Firm?
In one line: a business structure where 2+ people share profits from a business carried on by all or any of them acting for all — governed by the Indian Partnership Act, 1932.
A Partnership Firm is defined under Section 4 of the Indian Partnership Act, 1932 as "the relation between persons who have agreed to share the profits of a business carried on by all or any of them acting for all." The rules of engagement live in a written Partnership Deed — the firm's constitution.
Crucially, a partnership is NOT a separate legal entity — the firm and its partners are legally the same person. All partners bear unlimited personal liability for firm debts. This is the biggest structural difference from an LLP or Pvt Ltd.
Registration is optional under the Act (mandatory only in Maharashtra and Gujarat) but strongly recommended. Under Section 69, unregistered firms cannot sue third parties, recover dues > ₹100, or resolve partner disputes through litigation. A ₹3-200 filing fee unlocks huge legal protection.
MAJOR 2025 UPDATE: Finance Act 2024 introduced Section 194T effective 1 April 2025 — every partnership firm must deduct 10% TDS on partner payments (salary, remuneration, interest, commission, bonus) exceeding ₹20,000/year. This changes how deeds must be drafted going forward.
Choose Partnership if you're...
- You're running a family business with 2-5 known partners
- You're in Maharashtra or Gujarat (registration is mandatory there)
- You want the cheapest possible business structure with an official firm name
- You have known co-partners who trust each other completely
- You're a professional (CA, lawyer, doctor) starting an informal small practice
- Your business will stay small — no big loans, no VC, no enterprise clients
Skip Partnership if you're...
- You want limited liability protection — choose LLP instead (only ~₹1,000 more)
- You expect turnover > ₹40 lakh — LLP's tax + audit rules are better
- You have unrelated business partners — disputes without limited liability = personal exposure
- You want to raise VC funding — investors need Pvt Ltd, not partnership
- You plan enterprise or PSU tenders — most require Pvt Ltd or LLP structure
- You want the firm to survive partner exit / death — partnerships dissolve unless deed says otherwise
6 real benefits of Partnership Firm
In an era of LLPs and OPCs, the humble partnership still wins on simplicity, cost, and flexibility for the right use case.
Cheapest to Set Up + Run
Registration ₹3-15k total. No mandatory MCA filings. No board meetings, no auditor appointments (unless T/O > ₹1Cr). Annual compliance under ₹5k. Perfect for micro-businesses with fewer than 5 partners.
Simple Legal Foundation
Governed by Indian Partnership Act, 1932 — a 90+ year old law with settled case law on every dispute type. Partnership Deed is the entire rulebook. You define profit-share, roles, and admission/exit — nothing forced.
Legal Standing After Registration
Registered firms can sue and be sued in the firm's name (Section 68). Unregistered firms cannot enforce contracts, recover dues, or resolve partner disputes in court (Section 69). Small ₹3-200 filing fee unlocks huge legal protection.
Tax Efficient for Small Firms
Flat 30% on firm profits + surcharge + cess. Partner remuneration deductible under Section 40(b) — Finance Act 2024 doubled the first-slab threshold to ₹6L book profit. Presumptive taxation (44AD) available under ₹3Cr turnover.
Flexible Partner Structure
Any partner can be a working partner (draws remuneration) or sleeping partner (capital only). Profit-sharing ratios entirely up to your deed. Easier to change than an LLP amendment. Perfect for family businesses.
Ideal for Trust-Based Micro-Business
Trading firms, small manufacturing, family shops, doctor/lawyer/CA duos, wholesalers — the classic use case. Two people who know each other, share profits fairly, and want a formal legal wrapper without corporate overhead.

Your Partnership Deed — 12 essential clauses
The Partnership Deed is your firm's constitution — the entire rulebook for how partners work together. Ours includes the NEW Section 194T (10% partner TDS) clause and revised Section 40(b) remuneration framework by default.
Your first 30-90 days — non-negotiable actions
Getting the Certificate of Registration is Day 0. The Section 194T TDS obligation kicks in from Day 1 of FY 2025-26 — even backdated if you're making partner payments. Miss it and you're an assessee-in-default.
Apply for firm PAN + TAN
PAN in the firm's name via Form 49A. TAN via Form 49B if you'll deduct TDS (mandatory now under Section 194T). Both take 15-20 days to receive physically.
Firm PAN ≠ partner PANOpen firm current account
Bank needs: Certificate of Registration + Partnership Deed + Firm PAN + partner KYC + address proof. Deposit initial capital. Bank prefers registered firms — huge advantage.
Unregistered firms face bank hurdlesGST + MSME registration
GST if turnover > ₹40L (goods) or ₹20L (services), or if interstate. MSME/Udyam is optional but unlocks CGTMSE loans, tender preferences, and delayed-payment protection.
GST needed for interstate salesSection 194T TDS deduction (NEW)
Effective 1 April 2025 — deduct 10% TDS on partner salary/remuneration/commission/bonus/interest exceeding ₹20,000/year per partner. File TDS returns quarterly (Form 26Q). This is BIG.
Non-compliance = 201(1) default penalty6 common Partnership Firm mistakes — and how to avoid them
In 10+ years of partnership practice, these are the top blunders — half of them get amplified now by the new 2025 tax rules.
Not registering the firm
Under Section 69 of the Partnership Act, an unregistered firm cannot sue anyone in court — not customers who don't pay, not partners in dispute, not third parties. When you actually need legal remedy, unregistered firms are helpless. And it costs ₹3-200 in most states.
Ignoring the new Section 194T TDS
Finance Act 2024 introduced Section 194T effective 1 April 2025. Every partnership firm must deduct 10% TDS on any partner payments (salary/interest/commission) exceeding ₹20,000/year. Most 2024-era partnership deeds don't contemplate this. Failure = 201(1) default + interest.
Wrong Section 40(b) remuneration limits in the deed
Finance Act 2024 doubled the first-slab threshold — remuneration deductible up to ₹3L OR 90% of first ₹6L book profit (was ₹3L). Old deeds using pre-2024 slabs undercharge remuneration and pay more firm-level tax than needed.
No dissolution / exit clause
By default under the Act, a partnership dissolves on partner death, retirement, or bankruptcy. If your deed doesn't say "the firm continues", the business ends when any partner leaves. Family businesses lose everything this way.
Vague profit-sharing ratios
"We'll figure it out later" or "we'll split based on work" leads to disputes when profits arrive. Verbal or ambiguous profit-sharing has cost partnerships thousands in litigation.
Choosing partnership when LLP fits better
Partnership vs LLP is roughly ₹1,000 setup difference. LLP gives limited liability protection — huge if the business faces any litigation risk (contracts, product liability, employee disputes). Many partners pick partnership for cost, then regret it after first legal exposure.

The Tax Paramarsh desk
"Partnership firms are the oldest business structure in India — and the most misunderstood. Most founders pick it for cost, then discover later that unregistered firms can't sue anyone (Section 69) or that Section 194T now requires 10% TDS on every partner payment (new from 1 April 2025). We draft deeds that get it all right the first time — Section 40(b) remuneration optimised, Section 194T TDS clause baked in, continuation clause for succession, dispute resolution defined. Every registration is checked by a qualified professional before filing."

What is a Partnership Firm?
A Partnership Firm is a business structure under Section 4 of the Indian Partnership Act, 1932 — defined as "the relation between persons who have agreed to share the profits of a business carried on by all or any of them acting for all." Two or more people pool resources, share profits, and run a business under an agreed set of rules called the Partnership Deed.
Key: it is NOT a separate legal entity. The firm and partners are legally the same person. All partners bear unlimited personal liability for firm debts and obligations.
Is registration mandatory?
Registration is optional in most states under the Indian Partnership Act, 1932. Exception: Maharashtra and Gujarat require registration by law.
Even where optional, unregistered firms face major legal handicaps under Section 69: they cannot sue third parties to enforce contracts, cannot recover dues > ₹100 in court, and cannot resolve partner disputes through litigation. A ₹3-200 registration fee unlocks all of this — always register.
How many partners can a firm have?
Minimum 2, maximum 50 (as per Companies Act 2013 rules that apply to partnerships). Any adult individual capable of entering a contract can be a partner. Bodies corporate can also be partners.
What must the Partnership Deed contain?
Standard 10-15 clauses: (1) name and address of firm, (2) names/addresses of partners, (3) nature of business, (4) capital contribution per partner, (5) profit-sharing ratio, (6) working vs sleeping partner classification, (7) partner remuneration (Section 40(b) framework), (8) interest on capital, (9) admission/retirement/death of partner, (10) dissolution triggers, (11) dispute resolution, (12) accounts and audit, (13) borrowing powers, (14) TDS clause (Section 194T), (15) miscellaneous.
Our standard deed includes all 15 clauses with Section 40(b) + 194T compliance built in.
Total cost for partnership firm registration in 2026?
₹5,000-15,000 all-in for a 2-partner firm. Breakdown: (1) Our professional fee ₹2,500. (2) Stamp duty on Partnership Deed ₹200-10,000 (state-based). (3) Registration filing fee ₹3-200 (state-based). (4) Notarisation ₹200-500. (5) GST 18% on professional. Total: ₹5,000-15,000.
Cheaper than LLP (₹5-15k) or Pvt Ltd (₹8-16k). Only ₹1,000 cheaper than LLP — most founders should just pay the extra ₹1,000 and get limited liability.
How does stamp duty on Partnership Deed vary?
State-dependent. Approximate ranges: Uttarakhand ₹500-1,000, Delhi ₹500-2,000, Maharashtra ₹500 (fixed if capital ≤ ₹50k), Karnataka ₹2,000-5,000, Gujarat ₹500-2,000, UP ₹500-2,000. Some states charge as % of capital contribution, others flat. We verify state rates before drafting.
Annual compliance cost?
₹3,000-8,000/year for a small firm under ₹1Cr turnover. Includes: ITR-5 filing ₹2-3k, TDS quarterly filings (Section 194T) ₹2-3k, bookkeeping if you don't maintain in-house.
No mandatory MCA filings, no board meetings, no auditor appointments. Cheapest annual compliance among all business structures.
Do you help with state-specific stamp duty?
Yes. We check state-specific rates before drafting the deed and coordinate stamp paper purchase. In some states (Maharashtra, Gujarat), we handle the entire e-registration workflow through the Registrar of Firms portal.
How long does partnership registration take?
10-15 working days from complete documents. Breakdown: Day 1-2 (deed drafting + stamp paper), Day 3-5 (notarisation + Form 1 preparation), Day 5-12 (Registrar of Firms verification), Day 12-15 (Certificate of Registration issued).
Faster states (Karnataka, Tamil Nadu, Maharashtra) take 7-10 days. Slower states (UP, Bihar, some Northeast) take 15-25 days.
Do partners need to visit your office?
No. Entirely remote via WhatsApp, email, and video verification. Deed signing happens on notary's presence — we coordinate a local notary at your city. most of our partnership registrations are done fully remotely.
Can we operate before registration is complete?
Yes — partnership can operate from the day the deed is signed. Registration is the process of recording it with the state Registrar. However, without the Certificate of Registration you cannot: (1) sue in court under Section 69, (2) open some bank accounts, (3) register for GST in the firm's name (some states).
Operate normally from deed date, but don't sign major contracts or hire staff until registration completes.
Can foreign nationals be partners?
Yes, subject to FEMA rules on FDI. Non-resident partners must comply with FEMA reporting. Practical: most banks are reluctant to open partnership accounts with NRI partners without additional documentation. If your firm has NRI partners, consider LLP or Pvt Ltd which have clearer FDI frameworks.
What is the tax rate for partnership firms?
Flat 30% + surcharge + 4% health & education cess on firm profits — regardless of income level. Surcharge: 12% if income > ₹1Cr. Effective rate: 31.2% (under ₹1Cr) or 34.9% (above ₹1Cr).
No progressive slabs, no personal exemptions. Partners pay their own tax on their share of profits (already suffered firm tax = tax-free in their hands) plus tax on remuneration/interest received.
What is Section 194T and when does it apply? (NEW)
New from 1 April 2025. Introduced by Finance Act 2024, Section 194T mandates that partnership firms deduct 10% TDS on any partner payments (salary, remuneration, commission, bonus, interest) when the aggregate exceeds ₹20,000/year per partner.
Applies from FY 2025-26 (AY 2026-27). No surcharge/cess on TDS rate for resident partners. TDS at time of credit or payment, whichever earlier. Non-deduction = firm becomes assessee-in-default under Section 201(1) with 1% monthly interest.
Big deal — most 2024-era partnership deeds don't contemplate this. We update this clause at registration for all new firms.
What are Section 40(b) partner remuneration limits?
Section 40(b) limits how much partner remuneration a firm can claim as deductible expense. Finance Act 2024 doubled the first-slab threshold from AY 2025-26. New limits:
(1) On first ₹6 lakh of book profit (or loss): ₹3,00,000 or 90% of book profit, whichever is HIGHER.
(2) On balance book profit: 60% of book profit.
Applies only to traditional partnership firms — NOT LLPs. Partners must be "working partners" (mentioned in deed). Firms under presumptive taxation (44AD/44ADA) cannot claim partner remuneration deduction.
When is audit mandatory for partnership firm?
Under Income Tax Act Section 44AB: audit mandatory if turnover exceeds ₹1 crore (or ₹10 crore if 95%+ digital transactions) in a financial year.
Under Partnership Act: no separate audit requirement. This is much simpler than LLP (audit at ₹40L) or Pvt Ltd (audit Day 1). Partnership's biggest tax advantage.
Partnership Firm vs LLP — which one?
Partnership wins on: setup cost (₹5-15k vs ₹5-15k, roughly same), simplicity (Registrar of Firms vs MCA), no mandatory 30-day post-registration filings, no ₹100/day uncapped penalties.
LLP wins on: limited liability (huge for any business with contracts, staff, or clients), separate legal entity (LLPIN as identifier), better bank credit, cleaner ownership transitions.
Rule of thumb: family/trading firm with trust-based partners and no big-client aspirations → partnership. Any business with staff, clients, contracts, or growth ambition → LLP.
Can we convert Partnership Firm to LLP later?
Yes, via Form 17 under Section 55 of the LLP Act, 2008. The partnership must be already registered under the Partnership Act. Assets/liabilities transfer automatically to the new LLP. Timeline: 15-20 days. Our conversion fee ₹6,999.
Common growth path: start partnership (Day 0-Year 2) → convert to LLP (Year 2-5) → maybe convert to Pvt Ltd (Year 5+ if raising VC).
Is registration in Maharashtra / Gujarat different?
Yes — these two states have made partnership registration mandatory by state law, not just optional under the Indian Partnership Act. Non-registration invites state-level penalties.
Both states have online e-registration portals. Maharashtra (through Registrar of Firms Maharashtra) takes 7-10 days. Gujarat similar. We handle both states via their online systems.
What happens on partner death or retirement?
By default under the Act, a partnership dissolves on partner death, retirement, insolvency, or bankruptcy — unless the deed says otherwise. This is the single biggest mistake in old partnership deeds.
A properly drafted deed includes a "continuing partnership" clause: firm continues with surviving/remaining partners; departing partner's capital is bought out at book value or agreed formula. We include this by default in every deed we draft.
