What is an LLP?
In one line: a hybrid structure combining limited liability of a company with the operational flexibility of a partnership — governed by the LLP Act, 2008.
A Limited Liability Partnership is a corporate business structure incorporated under the LLP Act, 2008 and regulated by the Ministry of Corporate Affairs. Unlike a traditional partnership, it is a separate legal entity — the LLP owns assets, signs contracts, and sues in its own name, independent of its partners.
Every LLP has minimum 2 designated partners (of whom at least one must be resident Indian), and can have any number of regular partners. Only designated partners bear statutory responsibility for MCA filings and penalties — regular partners just share profits.
Each LLP gets a unique 7-character LLPIN from MCA, plus PAN and TAN, all issued together on incorporation day. Compared to Pvt Ltd, LLP is cheaper to run — only 2 annual forms (Form 8, Form 11), no mandatory board meetings, and no audit unless turnover crosses ₹40L or capital ₹25L.
Choose LLP if you're...
- You run a professional practice (CA firm, law firm, doctor consortium)
- You want limited liability without Pvt Ltd's mandatory audit burden
- Your business has 2-15 partners with defined profit-sharing
- Family business with 2-3 owners wanting formal structure
- Services business with turnover below ₹40 lakh (no audit yet)
- You want lower annual compliance than Pvt Ltd (₹4-8k vs ₹8-15k)
Skip LLP if you're...
- You plan to raise VC / angel funding — LLP can't issue equity
- You want ESOP program for employees — not possible in LLP
- You need enterprise credibility for large PSU tenders — Pvt Ltd wins
- You're a solo founder — consider OPC or proprietorship instead
- Non-profit purpose — Section 8 Company is correct
6 real benefits of LLP — beyond "lower compliance"
Not just cheaper than Pvt Ltd. Here's what an LLP actually delivers.
Limited Liability Protection
Partners' personal assets stay safe if the LLP is sued, defaults, or hits losses. Liability limited to agreed capital contribution. Unlike traditional partnership, no personal exposure.
Lower Setup + Compliance Cost
All-in setup ₹5-15k (vs ₹8-20k for Pvt Ltd). Annual compliance ₹4-8k with just 2 forms (Form 8 + Form 11), vs 4+ forms for Pvt Ltd. No mandatory audit under ₹40L turnover.
Perpetual Succession
LLP continues even when partners retire, die, or are replaced. Ownership transfer via LLP Agreement amendment — cleaner than Pvt Ltd share transfer for family businesses.
Flexible Management
Partners can define their own management structure in the LLP Agreement — profit-sharing, decision-making, admission/exit rules. No mandatory board meetings, no AGMs, no share-issuance formalities.
Separate Legal Entity
LLP can own assets, sue and be sued, sign contracts in its own name. Distinct legal personality from partners. Business continues seamlessly across partner changes.
MSME + Tender Eligible
LLPs qualify for MSME/Udyam registration, GeM portal, CGTMSE loans, and most government tender preferences. Same access as Pvt Ltd for most schemes — for a fraction of the compliance cost.

What each character in your LLPIN means
Your Limited Liability Partnership Identification Number is 7 characters that encode your ROC office and registration serial. Much shorter than a 21-char CIN.
Your first 30 days — non-negotiable actions
Getting the COI is Day 0. The clock starts. LLP penalties are worse than Pvt Ltd — ₹100/day with NO cap. Miss these and you're on the hook.
File LLP Agreement (Form 3)
Mandatory filing within 30 days of incorporation. Contains capital contribution, profit-sharing ratio, partner rights/duties, management structure. Late fee ₹100/day, no cap.
Missing = ₹100/day foreverOpen bank current account
Deposit initial capital contribution from partners. Bank needs COI + LLP Agreement + PAN + partner KYC. Coordinate with 2-3 banks (SBI, HDFC, ICICI) — we facilitate.
Delay blocks operations + Form 3 filingGST + MSME registration
Register for GST if turnover > threshold or interstate. MSME/Udyam registration is optional but unlocks tender preferences, CGTMSE loans, and subsidy schemes.
Delayed = missed opportunitiesAnnual Form 11 filing
Annual return due 30 May every year (60 days after FY end). Discloses partner changes and business status. Even zero-activity LLPs must file. Penalty ₹100/day, uncapped.
2 years missed = ROC strike-off6 common LLP mistakes — and how to avoid them
In 10+ years of LLP practice, these are the top blunders we've fixed for clients. LLPs punish delays harder than Pvt Ltds.
Ignoring the 30-day Form 3 deadline
LLP Agreement filing via Form 3 must happen within 30 days of COI. Miss it and ₹100/day penalty starts — with NO upper cap. LLPs 6+ months late routinely pay ₹18,000+ in penalties.
Assuming no audit means no books
LLPs below ₹40L turnover don't need audit — but MUST maintain proper books of accounts. When you cross the threshold or face a notice, missing books = penalty + compounding.
Skipping annual Form 8 / Form 11
Even a "dormant" LLP with zero activity must file both forms every year. Skipping = ₹100/day/form, no cap. 2 years missed = ROC strike-off + partner disqualification for 5 years.
Underestimating stamp duty on LLP Agreement
Stamp duty on LLP Agreement varies wildly by state — ₹500 (Uttarakhand, HP) to ₹10,000+ (Maharashtra, Delhi high-capital). Getting it wrong invalidates the agreement.
Wrong choice of "designated" vs "regular" partner
Only designated partners have statutory liability for MCA filings and penalties. Regular partners have profit-share but no compliance duty. Confusing them creates governance chaos.
DIR-3 KYC not filed annually
Every designated partner must file DIR-3 KYC by 30 September each year. Miss it and DPIN gets deactivated — can't sign any MCA form till reactivated with ₹5,000 fee.

The Tax Paramarsh desk
"LLPs are undersold in India. Most founders default to Pvt Ltd out of habit, then complain about audit fees and quarterly board meetings. If you're not going to raise VC in the next 2 years, LLP saves you ₹5-8k/year in compliance and half the paperwork. Every LLP registration is reviewed by a qualified CA or CS, and Form 3 is filed within the 30-day deadline. That's why our clients don't pay MCA penalties."
What LLP partners say after registering with us
Common questions
Straight answers. Still curious? WhatsApp us anything.
What is an LLP?
A Limited Liability Partnership is a hybrid structure — the operational flexibility of a partnership with the limited liability of a company. Governed by the Limited Liability Partnership Act, 2008, it is a separate legal entity from its partners.
Key: partners' personal assets stay safe from business liabilities. Minimum 2 partners (at least 1 resident Indian), no minimum capital, and much lower annual compliance than a Pvt Ltd.
Minimum number of partners?
Minimum 2 designated partners, at least one of whom must be an Indian resident (stayed 120+ days in India during the FY per LLP Amendment Act 2021). Maximum unlimited partners. Can be individuals or bodies corporate.
You can also have "regular" partners who share profits but don't bear MCA compliance responsibility — only designated partners have statutory liability.
Is minimum capital required?
No. LLP Act imposes no minimum capital requirement. You can start with ₹1,000 or any amount partners agree. Capital contribution can be in cash, kind, or services (with valuation).
Practical tip: start with ₹10,000-50,000 capital as it satisfies most banks' current account opening requirements and looks credible in tenders.
What is an LLPIN?
Limited Liability Partnership Identification Number — a unique 7-character alphanumeric code assigned by MCA. Example: AAA-1234. It appears on your Certificate of Incorporation and is used for all MCA filings, tenders, and bank documents.
Total cost for LLP registration in 2026?
Realistic all-in cost ₹5,000-15,000 for a 2-partner LLP with ₹1L capital contribution. Breakdown: (1) Government FiLLiP fee ₹500-1,000 (capital-based, up to ₹1L = ₹500). (2) RUN-LLP ₹200. (3) Form 3 ₹50-200. (4) DSC ₹2,500/partner = ₹5,000. (5) Stamp duty on LLP Agreement ₹500-10,000 (state-based). (6) Our professional ₹3,000. Total: ₹5,000-15,000.
How does stamp duty on LLP Agreement vary?
Highly state-dependent. Approximate ranges: Uttarakhand ₹500, Delhi ₹500-3,000, Maharashtra ₹500-10,000+, Karnataka ₹1,000-5,000, UP ₹500-4,500. Calculated on capital contribution (some states) or flat (others). We verify state-specific rates before drafting.
Annual compliance cost for a small LLP?
For an LLP with turnover under ₹40L: ₹4,000-8,000/year. Covers Form 11 (May 30), Form 8 (Oct 30), ITR-5 filing, DIR-3 KYC, bookkeeping. Our Essentials retainer bundles all this at ₹4,000/month.
Vs Pvt Ltd: LLP saves ~₹5,000-8,000/year in compliance. Over 5 years, that's ₹25,000-40,000 savings.
Do you charge for the LLP Agreement drafting?
Included in our professional fee. Standard LLP Agreement with capital, profit-sharing, decision-making, admission/exit clauses. Custom clauses (family-business succession, deadlock resolution, non-compete) available at ₹500-2,000 depending on complexity.
How long does LLP registration take?
10-15 working days from receipt of complete documents. Breakdown: Day 1-2 (DSC for both partners), Day 3-5 (Name via RUN-LLP), Day 5-10 (FiLLiP + COI + LLPIN), Day 10-15 (LLP Agreement drafting + Form 3 filing within 30 days of COI).
What causes delays?
Top causes: (1) name rejection (needs to be unique + not clash with TMs), (2) address mismatch across documents, (3) DSC video KYC scheduling if partners are travelling, (4) missing NOC from property owner, (5) unresponsive to MCA officer queries within 7 days.
Do partners need to visit your office?
No. Entirely remote via WhatsApp, email, and video KYC. Physical presence not required for any step.
Can foreign nationals be partners?
Yes, with apostilled/notarised passport + address proof + video KYC. However, at least one designated partner must be a resident Indian (120+ days in India during FY). DSC for foreign nationals takes 3-5 additional days.
What are the annual compliance obligations?
Every LLP must file annually: (1) Form 11 (Annual Return) by 30 May, (2) Form 8 (Statement of Accounts and Solvency) by 30 October, (3) ITR-5 by 31 July (non-audit) or 31 October (audit), (4) DIR-3 KYC for each designated partner by 30 September.
All required even for zero-activity dormant LLPs.
When is audit mandatory?
Under the LLP Act: mandatory if turnover > ₹40 lakh OR contribution > ₹25 lakh in a financial year (Section 34(4) read with Rule 24(8)).
Under the Income Tax Act (Section 44AB): additional tax audit mandatory if turnover > ₹1 crore (or ₹10 crore if 95%+ digital transactions).
Below both thresholds: no audit needed, but proper books of accounts are still mandatory.
What is the penalty for late filing?
₹100 per day per form, with NO upper cap — this is unique to LLPs and much harsher than Pvt Ltd penalties (which are capped). Two years of non-filing of both forms accumulates ₹1,46,000 in MCA penalties alone.
Persistent non-filing (2+ years) triggers ROC strike-off proceedings + designated partners face 5-year disqualification.
Can I convert LLP to Pvt Ltd later?
Yes, when you're ready to raise VC funding. Conversion via Form URC-1 under Section 366 of Companies Act 2013. Requires: partner consent (unanimous), no pending disputes, all liabilities discharged. Takes 30-45 days. Our fee: ₹15,000-25,000 depending on complexity.
Reverse conversion (Pvt Ltd to LLP) also possible but rarely done.
LLP vs Pvt Ltd — which should I choose?
LLP wins when: professional practice, family business, service firm without VC plans, turnover expected under ₹40L for a few years, want to minimise compliance cost.
Pvt Ltd wins when: planning VC/angel funding, want ESOP program, need enterprise credibility, targeting PSU tenders, want easier ownership transfer via share sales.
Rule of thumb: if you'll never issue equity to raise capital, LLP is strictly better on cost.
Can I convert my partnership to LLP?
Yes, via Form 17 (Application and Statement for Conversion of Firm into LLP) under Section 55 of LLP Act. Partnership must be already registered under the Partnership Act. Assets/liabilities transfer automatically to LLP. Timeline: 15-20 days. Our conversion fee ₹6,999.
What about proprietorship to LLP?
You don't "convert" — you incorporate a new LLP, then transfer proprietorship assets/liabilities via a slump sale agreement. GST is migrated with fresh GSTIN under new PAN. Common for proprietors adding a partner. Our fee: ₹15,000-25,000.
Can LLPs raise FDI?
Yes, since 2015. LLPs in sectors where 100% FDI is allowed under automatic route can receive FDI without RBI approval. But sectors requiring performance conditions (defence, telecom, single-brand retail) still need approval. FIRMS portal reporting required.
Practical reality: most FDI still flows to Pvt Ltd because VCs prefer share-based investment. LLP FDI is rare.
