Understand the basics

What is a Private Limited Company?

In one line: a separate legal entity, owned by shareholders, managed by directors, with its owners' personal assets protected from business liabilities.

A Private Limited Company is a business structure incorporated under the Companies Act, 2013 and regulated by the Ministry of Corporate Affairs (MCA). Unlike a proprietorship, it is a separate legal person — it owns assets in its own name, signs contracts, sues and is sued independently of its owners.

Ownership is held by shareholders (minimum 2, maximum 200). Management is done by directors (minimum 2, maximum 15) who may or may not be shareholders. Shareholders' liability is capped at the amount they've invested — your home and personal savings are safe even if the business fails.

Every Pvt Ltd gets a unique 21-character CIN (Corporate Identification Number) from the MCA, plus PAN and TAN for tax purposes — all issued together on incorporation day.

Choose Pvt Ltd if you're...

  • Planning to raise funding from VCs, angels, or grants
  • Building a scalable business you want to run for 10+ years
  • Hiring senior staff you'll offer ESOPs to
  • Selling to enterprise clients who demand corporate credibility
  • Concerned about protecting personal assets from business risk
  • Building brand equity in a specific name you want to trademark
Why founders pick it

6 real benefits of Pvt Ltd — beyond the hype

Not just "credibility". Here's what a Pvt Ltd actually gives you in practice.

Limited Liability Protection

Your personal assets — house, car, savings — stay safe if the business is sued, defaults on loans, or hits losses. Shareholders can only lose what they invested.

Perpetual Succession

The company doesn't die when a founder or shareholder does. Ownership transfers via shares. Bank accounts, contracts, and GSTIN continue uninterrupted.

Fundraising-Ready

The only structure that lets you issue equity, ESOPs, convertible notes, and SAFEs. Every serious investor (VC, angel, family office) demands Pvt Ltd.

Brand Credibility

"Pvt Ltd" in your name signals seriousness to enterprise clients, banks, and vendors. Wins bigger contracts. Easier vendor onboarding at large corporates.

Easy Ownership Transfer

Sell 10% or 100% by transferring shares — no need to redo GSTIN, TAN, contracts, or bank accounts. Cleanest exit path of any Indian structure.

Access to DPIIT / Startup India

Only Pvt Ltd / LLP / partnership eligible. Unlocks 3-year tax holiday (Sec 80-IAC), angel-tax exemption, ₹945Cr Fund of Funds, self-certification for labour laws.

Avoid these traps

Common mistakes first-time founders make

In 10+ years of practice, these are the top blunders we've helped clients unlearn. Fix them upfront.

Mistake #1

Copying MOA/AOA from templates

Generic objects clause narrows what your company can legally do. If your MOA says "software", you can't legally sell hardware without an amendment (₹5k+ later).

Fix: broad, well-drafted object clauses from Day 1 covering current + likely future activities.
Mistake #2

Registering with 100% co-founder shareholding

No pool for ESOPs, no room for future investors without dilution drama. Founders end up doing expensive share transfers 12 months later.

Fix: allocate 10-15% authorised (unissued) capital for future issuance from Day 1.
Mistake #3

Choosing a name without trademark check

Name approved by MCA ≠ trademark clear. You get COI, then discover someone else owns the TM. Rebranding at scale costs lakhs.

Fix: run trademark clearance in your class before submitting name to MCA.
Mistake #4

Ignoring INC-20A deadline

The 180-day declaration of commencement is missed by 30% of first-time founders. Fine: ₹50k on company + ₹1k/day per director.

Fix: bank account + subscribed capital deposit within 60 days. INC-20A filed by day 90.
Mistake #5

Not appointing auditor within 30 days

Companies Act 2013 mandates first auditor via ADT-1 within 30 days. Missing this triggers ROC scrutiny and possible show-cause notice.

Fix: coordinate with a practising CA during incorporation itself. We do this pre-emptively.
Mistake #6

Using residential address without NOC

MCA doesn't verify NOC quality — but banks, landlords, and later officers will. Missing NOC = bank a/c refusal + landlord dispute.

Fix: written, signed NOC on the property owner's letterhead, filed with SPICe+.

FAQ

Common questions

Straight answers, no filler. Still curious? WhatsApp us anything.

What is a Private Limited Company?

A Private Limited Company (Pvt Ltd) is a business structure incorporated under the Companies Act, 2013. It is a separate legal entity — the company owns assets, incurs liabilities, sues and is sued in its own name, independent of its shareholders. Shareholders' liability is limited to the amount they've committed as share capital.

Key features: minimum 2 shareholders + 2 directors, maximum 200 shareholders + 15 directors, cannot invite public to subscribe to shares, minimum 4 board meetings per year with max 120 days gap, mandatory annual audit.

Minimum number of directors and shareholders?

Minimum 2 directors and 2 shareholders. These can be the same 2 people. At least one director must be a resident Indian — someone who has stayed 182+ days in India in the previous financial year. Maximum 15 directors and 200 shareholders.

Can I use my home as registered office?

Yes. Any residential or commercial address in India works, provided you can produce a NOC from the property owner authorising commercial use, plus a utility bill (electricity/water/gas) not older than 2 months. If you're renting, you'll also need the rent agreement. You can later shift the registered office by filing INC-22.

What is a CIN?

Corporate Identification Number — a unique 21-character alphanumeric code assigned to your company at incorporation. Example: U72200KA2013PTC097389. See the CIN Breakdown section above for a visual explanation of each part.

Total cost for Pvt Ltd registration in 2026?

Since 2020, MCA charges zero incorporation fee for companies with authorised capital up to ₹15 lakh. For a typical 2-director Pvt Ltd with ₹1 lakh capital in Uttarakhand: ₹3,500 professional fee + ₹500 state stamp duty + 18% GST = ~₹8,168 total.

Use our calculator above to configure your exact setup.

What is minimum authorised / paid-up capital?

No minimum mandated since 2015. Technically you can incorporate with ₹2. We recommend ₹1,00,000 authorised + ₹10,000 paid-up as it satisfies most banks' current account requirements.

What are typical annual compliance costs?

For a small Pvt Ltd: ₹8,000-15,000/year in govt fees + professional charges. Includes AOC-4, MGT-7, DIR-3 KYC, DPT-3, MSME-1, ITR, board meeting minutes. Our Essentials retainer covers all this plus GST returns for ₹5,000/mo.

Do you charge for revisions?

Up to 3 rounds of MOA/AOA revisions included. Additional revisions at ₹500 per round. Name changes after first rejection are always free — we don't penalise you for MCA rejections.

How long does the full process take?

10-14 working days from complete documents. Breakdown: Day 1-2 (DSC + DIN), Day 3-5 (Name via MCA RUN), Day 5-10 (MOA/AOA + SPICe+ Part B), Day 10-14 (COI + PAN + TAN). GST typically issued 3-7 days after COI.

What causes delays?

Most common delays: (1) MCA server slowness during month-end rushes, (2) name rejection needing re-application, (3) incomplete NOC or utility bill issues, (4) DSC video KYC scheduling if directors are travelling.

Do I need to visit your office?

No. Entire process is remote — WhatsApp, email, and video KYC. Physical presence not required.

Can foreign nationals be directors?

Yes, with apostilled/notarised passport + address proof + video KYC. However, at least one director must be resident Indian. DSC for foreign nationals takes 3-5 additional days.

What must I do in the first 30 days?

Three critical items: (1) Appoint statutory auditor via Form ADT-1 within 30 days, (2) Hold first Board Meeting within 30 days, (3) Deposit subscribed capital into company bank account. See the First 30 Days section above for details.

What is INC-20A and when to file?

Declaration of commencement of business — mandatory within 180 days of incorporation. Prerequisites: bank account opened, subscribed capital deposited. Penalty: ₹50,000 on company + ₹1,000/day per director (max ₹1 lakh per director).

Annual filings required?

Every Pvt Ltd must file: AOC-4 (financials, within 30 days of AGM), MGT-7 (annual return, 60 days), DIR-3 KYC (each director, by 30 September), DPT-3 (deposits, if applicable), MSME-1 (half-yearly), plus ITR-6. Late filings attract ₹100/day per form with no cap.

Is audit mandatory from Day 1?

Yes. Every Pvt Ltd must appoint statutory auditor within 30 days of incorporation regardless of turnover. Statutory audit is compulsory from the first FY.

I have a proprietorship — can I convert to Pvt Ltd?

You don't "convert" — you incorporate a new Pvt Ltd, then transfer proprietorship assets and liabilities to the company via a slump sale agreement. GST is migrated with a fresh GSTIN under the new PAN. We handle this transition for ₹15,000-25,000 depending on complexity.

Can I convert OPC to Pvt Ltd later?

Yes. Voluntary conversion allowed anytime after 2 years, or mandatory when paid-up capital crosses ₹50L or average turnover exceeds ₹2Cr for 3 consecutive years. Conversion via Form INC-6. We handle for ₹8,000-12,000.

Can I have FDI in my Pvt Ltd?

Yes, Pvt Ltd is the preferred structure for FDI. Most sectors are under automatic route (up to 100% FDI). Reporting via FIRMS portal + FLA return required. We handle FDI-related reporting as add-on.

What if I want to close the company later?

Two ways: (1) Strike-off via STK-2 if no operations (₹15-25k, 3-6 months), (2) Voluntary liquidation if operational (₹1L+, 6-12 months). Plan closure properly — striking off with unpaid liabilities creates director liability.
