What is Shop & Establishment Act and why it matters
In one line: state-issued proof that your commercial premises legitimately exists — without it, banks won't open your account and GST won't verify your address.
The Shop and Establishment Act is a state-specific labour law that regulates working conditions in shops, offices, restaurants, and commercial establishments. Every Indian state has enacted its own version. Registration is done through each state's Labour Department portal.
Major state Acts include:
- Uttarakhand Dookan Aur Vanijya Adhiniyam, 1962
- Delhi Shops and Establishments Act, 1954 — labour.delhi.gov.in
- Maharashtra Shops and Establishments Act, 2017 (Gumasta License) — aaplesarkar.mahaonline.gov.in
- Karnataka Shops and Commercial Establishments Act, 1961 — labour.karnataka.gov.in
- Tamil Nadu Shops and Establishments Act, 1947 — tnesevai.tn.gov.in
- Gujarat Shops and Establishments Act, 2019
What Shop Act unlocks:
- Current bank account — universally required by banks
- GST premises verification — inspectors ask for it
- MSME/Udyam — standard supporting proof
- Startup India DPIIT — accepted as premises evidence
- Employee welfare framework — 48hr/week, 2× overtime, weekly holidays
- Trade credibility — accepted by investors + tender committees
Choose Shop Act if you...
- You run a shop, office, showroom, salon, restaurant, cafe, gym, café, hotel, warehouse, clinic — any commercial premises
- You want to open a current account — banks require Shop Act certificate as premises proof
- You need GST registration — GST officers verify Shop Act during premises inspection
- You want to hire employees — labour inspector will check Shop Act at each location
- You're applying for MSME/Udyam or Startup India — Shop Act is standard supporting proof
- You want to avoid ₹1,000 - ₹50,000 penalty for non-registration (varies by state)
Skip Shop Act if you...
- You operate only online with no physical premises at all (though a "registered office" address still counts)
- You're a manufacturing unit in a notified factory area — covered under Factories Act 1948 instead
- You're a Central/State Government office or a specifically exempted category (e.g., certain educational institutions)
- You're only a household consultant with no office premises, no employees, and no client visits
What Shop Act actually delivers
Each benefit anchored in state statute, not marketing — foundation for legitimate commercial operation.
State Statutory Compliance
Each state has its own Shop & Establishment Act — Uttarakhand Dookan Aur Vanijya Adhiniyam 1962, Delhi Shops and Establishments Act 1954, Maharashtra Act 2017 (Gumasta), Karnataka Act 1961, Tamil Nadu Act 1947, Gujarat Act 2019. Registration mandatory within 30 days of commencing operations (Karnataka + Gujarat require pre-commencement). Non-registration attracts ₹1,000-₹50,000 penalty state-wise.
Current Account Unlock
Banks universally require a valid Shop & Establishment certificate as premises proof before opening a business current account. Without it, HDFC, ICICI, SBI, Axis, Kotak, and every other Indian bank will refuse. Also required for trade loan applications, working capital sanctions, and Point-of-Sale (POS) machine allotment. First door that opens after entity registration.
Downstream Registration Enabler
Shop Act is the foundation document for downstream applications: GST registration (officers verify during premises inspection), MSME/Udyam (standard supporting proof), Startup India DPIIT, Professional Tax, ESI/EPF, FSSAI, trade licence. Nearly every state-level or centre-level registration downstream will ask for this.
Employee Welfare Framework
Shop Act sets binding working conditions: weekly hours cap (usually 48), daily hours cap (9), overtime rate (2× wages), minimum weekly holiday (1 day), national/festival holidays (5-9 depending on state), paid annual leave (12-30 days), maternity provisions, closing hours + spread-over rules. Establishes your compliance baseline before you hire your first employee.
Lifetime or Long-Cycle Validity
Validity varies dramatically by state: Maharashtra + Madhya Pradesh + Delhi (Gumasta) — lifetime. Karnataka + Gujarat + Rajasthan — 5 years renewable. Tamil Nadu — perpetual with annual details update. Uttarakhand — annual renewal. West Bengal — 1 year. Wide variance is confusing — we track your specific state's cycle and file renewal 30-60 days in advance.
Investor + Grant Application Credibility
Startup investors, MSME grant reviewers, and government tender committees treat Shop Act certificate as proof of a legitimate operating business — not a "paper company". Along with GST, PAN, and Incorporation certificate, this becomes part of the standard due-diligence stack. Missing it can delay or derail funding rounds worth crores.

Colour-coded by validity type. Green = lifetime · Gold = 5-year renewable · Blue = annual · Purple = perpetual with annual update.
From certificate to renewal — key dates
3 immediate milestones (issue, display, employee registers), 1 recurring (renewal per state cycle).
Certificate issued (typical state)
For most states with digital-first portals (Delhi, Maharashtra, Uttarakhand under Ease of Business, Tamil Nadu, Karnataka self-declaration), certificate is issued in 7-15 working days. Auto-approval for low-risk categories. Certificate available for download from state portal.
Physical states may take 20-30 daysDisplay certificate at premises
Shop Act certificate must be prominently displayed at the establishment — a legal requirement across all states. Also print the establishment's registration number on business documentation, payslips, offer letters, and statutory filings. Missing display = ₹500-2,000 fine on inspection.
Labour inspectors check display during routine visitsEmployee register + wage records setup
Post-registration compliance is ongoing. Maintain employee register (Form II), wage register (Form V), leave register (Form VI) in state-prescribed format. Working hours must comply with state Act — usually 48/week, 9/day, overtime at 2×. Weekly holiday mandatory. Some states require monthly/quarterly employee returns.
Register audits during labour inspectionRenewal (state-dependent)
Renewal cycles differ dramatically: Uttarakhand, Delhi, West Bengal — annual. Karnataka, Gujarat, Rajasthan — 5-yearly. Maharashtra (Gumasta), Madhya Pradesh — lifetime, no renewal. Missing renewal = operating without valid licence = same penalty as non-registration.
Auto-reminder in our retainer service6 common Shop Act mistakes — and how to avoid them
Biggest: wrong establishment category. Costliest: multi-state operations with single registration. All preventable.
Wrong establishment category
Every state portal has categories: Shop, Commercial Establishment, Restaurant/Eating House, Residential Hotel, Theatre/Amusement, Other. Restaurants filing as "Shop" is the #1 rejection reason. Software offices filing as "Shop" instead of "Commercial Establishment" is another. Wrong category = rejection + potentially wrong fee slab + non-recognition by banks.
Missing the 30-day registration deadline
Most states mandate registration within 30 days of commencing business operations. Karnataka and Gujarat require pre-commencement. Applying late means: (a) penalty for the delay period + (b) exposure to labour inspector notices in the interim + (c) inability to open current account + (d) delay in GST + Udyam applications that depend on it.
Wrong state — filing where you're NOT operating
Shop Act is strictly premises-based, not entity-based. A company registered in Delhi but operating from Bengaluru needs a Karnataka Shop Act, not Delhi. Multi-location businesses need separate Shop Act registration for every state and often every city/premises. Ignoring this creates massive compliance exposure at each unregistered location.
Ignoring renewal cycles
Since validity varies wildly across states, businesses often assume "lifetime" incorrectly. Uttarakhand and Delhi actually require annual renewal. Karnataka and Gujarat are 5-year. Missing renewal = operating without valid licence = same penalty as never registered. Also breaks downstream: banks may freeze current account on expiry alert.
Not displaying certificate at premises
Every state Act mandates prominent display of the certificate at the establishment. Labour inspectors check this during routine visits (Karnataka, Maharashtra, Tamil Nadu inspect quarterly). Missing display attracts ₹500-2,000 penalty per instance. Chain businesses often miss this at outlet locations.
Under-declaring employee count
Fee slabs jump at 10, 25, 50, 100, 250 employees. Business owners sometimes under-declare to save ₹500-₹5,000 in fees — until a labour inspection reveals actual employee count. Consequences: penalty upgrade (up to ₹50,000), fresh registration required, blacklisting risk. Also breaks EPF/ESI mandate which auto-triggers at 20 employees (EPF) / 10 employees (ESI).

Labour compliance
The Tax Paramarsh desk
"Shop Act is deceptively simple. State portals, state fees, state validity — nothing central. Our clients span 15+ states, and we've learned that treating this as a routine filing is where consultants go wrong. In Uttarakhand we route via Ease of Doing Business auto-approval. In Karnataka we use self-declaration for <10 employees. In Maharashtra we file Gumasta digital-first. In Tamil Nadu we go through e-Sevai. Each state has its rhythm — knowing which route to pick saves clients 10-30 days. The bigger trap is multi-location: chains often think one registration works nationally. It doesn't. Six outlets across three states = six separate certificates, each with its own renewal cycle. And renewal is where many businesses lose their Shop Act — an expired licence is treated the same as never registered. Banks freeze accounts on expiry alert. GST inspectors flag it. Our compliance retainer maintains per-state renewal calendars so no client has ever had a lapse."

Common questions
Straight answers. Still curious? WhatsApp us anything.
What is Shop & Establishment Registration?
The Shop and Establishment Act is a state-specific labour law that regulates the working conditions of employees in shops, offices, restaurants, and commercial establishments. Every state has its own Act, portal, fees, and validity rules.
Purpose:
- Regulates working hours, weekly holidays, leaves, wages, overtime
- Provides a state-registered identity for commercial premises
- Enables downstream registrations: current account, GST, Udyam, ESI/EPF, FSSAI
- Establishes employer accountability for basic labour welfare
State-wise names: Gumasta License in Maharashtra. Uttarakhand Dookan Aur Vanijya Adhiniyam. Delhi/Karnataka/TN just call it "Shop & Establishment License".
Is Shop Act mandatory for my business?
Yes — for virtually every commercial establishment with a physical premises. Covers:
- Retail shops (grocery, electronics, apparel, everything)
- Offices (services, consulting, IT, BPO)
- Showrooms + demo centres
- Restaurants, cafes, bakeries, food trucks (stationary premises)
- Salons, spas, gyms, wellness centres
- Hotels, guest houses, PGs
- Clinics, diagnostic labs, coaching centres
- Warehouses, storage units, workshops
Not required: Purely online businesses with no physical office (though registered office address may still count in some states). Manufacturing units in notified factory areas (covered under Factories Act 1948 instead). Certain exempted educational institutions.
Which state's Shop Act do I apply for?
The state where your premises is located — not where your entity is registered.
Multi-state operations need separate Shop Act registrations for each state. A company registered in Delhi but with offices in Delhi + Bengaluru + Mumbai needs 3 separate Shop Act certificates. Each state's portal, each state's fees, each state's renewal cycle.
Multi-city within one state: Depends on state rules. Some states require separate registration per city, others allow a single state-level licence. We check state-specific rules before filing.
What if I miss the 30-day deadline?
Most states levy a delayed-registration penalty proportionate to the delay period. Common ranges: ₹500-₹5,000 per instance. Additionally:
- Cannot open current account until Shop Act is issued
- Cannot complete GST premises verification
- Exposed to labour inspector notices in the interim
- Some states (Karnataka + Gujarat) require pre-commencement registration — starting operations before registration is itself a violation
We recommend filing within 5-7 working days of commencement to avoid all these risks.
What does Shop Act cost in 2026?
Highly state-dependent. Government fee ranges ₹50 to ₹15,000 across India based on state and employee count slab.
Sample fees for a small establishment (<10 employees):
- Delhi: ₹50-₹500
- Uttarakhand: ₹100-₹500
- Maharashtra: ₹120-₹1,000
- Karnataka: ₹150-₹500 (self-declaration)
- Tamil Nadu: ₹200-₹500
- Gujarat: ₹100-₹1,500
Our professional fee: ₹3,000 single-state. ₹5,000 per premises for multi-location engagements. ₹13,000/yr for full compliance retainer. + GST @ 18%.
Are there hidden costs?
Minimal, but worth flagging:
- State delayed-registration penalty if you're registering after commencement — typically ₹500-₹5,000
- Renewal fees if your state has periodic renewal (annual for Delhi/Uttarakhand, 5-yearly for Karnataka/Gujarat)
- Amendment fees if you change address, ownership, or employee count significantly — usually ₹100-₹500
- Physical copy printing/lamination for display — DIY at ₹50-₹100 or we include in our issue package
No hidden charges from us. All state fees are pass-through at actuals.
What is the penalty for non-registration?
Varies dramatically by state:
- Uttarakhand: ₹500-₹5,000
- Delhi: ₹1,000-₹5,000
- Maharashtra: Up to ₹50,000 (highest in India under 2017 Act)
- Karnataka: ₹500-₹5,000 + daily fine
- Tamil Nadu: ₹100-₹2,500
- West Bengal: ₹500-₹5,000
Beyond fine: Business closure orders, freeze of downstream registrations (bank account, GST verification), reputational risk in tender applications.
Do I need Shop Act if I already have GST?
Yes — they're independent registrations under different laws.
- Shop Act: State labour law (Shop & Establishment Act 1947/1954/1961/1962/2017/2019)
- GST: Central tax law (CGST Act 2017)
In fact, GST officers commonly ask for Shop Act during premises verification for GST registration. Banks require both for current account. Investors and tender committees check both.
The stack usually goes: Incorporation → PAN → Shop Act → Bank Account → GST → Udyam.
How long does Shop Act take in 2026?
State-dependent, but most digital-first states issue in 3-15 days:
- Karnataka (self-declaration <10 emp): Instant to same-day
- Delhi (auto-approval for low-risk): 3-7 days
- Maharashtra (Gumasta): 3-7 days
- Uttarakhand (Ease of Business auto-approval): 7-15 days
- Tamil Nadu (e-Sevai portal): 7-15 days
- Other states: 15-30 days depending on portal maturity
Most delays are document mismatches (address, PAN name variations) not system slowness. Our pre-filing document reconciliation eliminates this.
What is the validity period?
Wildly variable — one of the trickiest parts of Shop Act:
- Lifetime (single filing): Delhi (post-2018), Maharashtra Gumasta, Madhya Pradesh
- 5 years renewable: Karnataka, Gujarat, Rajasthan
- Annual renewal: Uttarakhand, West Bengal, some other states
- Perpetual with annual details update: Tamil Nadu, Andhra Pradesh, Telangana
Consequence of ignoring: Operating on expired licence = same penalty as never registered. Banks freeze accounts on expiry alert. GST inspectors flag it.
We maintain per-client, per-state renewal calendars with 30-60 day advance filing.
Can I get Shop Act same-day?
In some states — yes.
- Karnataka: Self-declaration route for establishments with fewer than 10 employees — often instant approval on portal submission
- Maharashtra: Gumasta digital-first often approves in 2-3 working days
- Delhi: Low-risk auto-approval categories can be issued in 3-5 days
Uttarakhand under Ease of Doing Business allows auto-approval but typically completes in 5-10 days. Same-day is not guaranteed.
For truly urgent business needs, we recommend filing before commencement (where state allows) so certificate is ready when doors open.
When should I apply for Shop Act?
Immediately upon business commencement — ideally within 5-7 working days.
State-specific timing:
- Uttarakhand, Delhi, TN, WB, MP, most others: Within 30 days of commencement
- Maharashtra: 60 days (for <10 employee establishments)
- Karnataka, Gujarat: Pre-commencement (before you open)
Sequence recommendation: Incorporation → PAN → Shop Act (Week 1-2) → Bank current account (Week 2-3) → GST (Week 3-4) → Udyam + others.
What are the working hours rules?
Uniform across most state Acts:
- Weekly hours cap: 48 hours
- Daily hours cap: 9 hours
- Spread-over (start-to-end): 10.5-12 hours daily
- Rest interval: Minimum 30 minutes after 5 continuous hours of work
- Overtime rate: 2× ordinary wages
- Weekly holiday: Minimum 1 day (usually Sunday, some states allow choice)
- National/festival holidays: 5-9 depending on state
- Paid annual leave: 12-30 days (state-specific)
IT/ITeS exemptions in Karnataka, Maharashtra, Telangana allow 12-hour shifts + women night work with additional welfare conditions.
What registers must I maintain?
State-specific formats, but common ones:
- Form II — Register of Establishment: Basic details of the shop, address, employees
- Form V — Register of Wages: Wage record per employee, payment dates
- Form VI — Register of Leave: Annual leave, sick leave, casual leave tracking
- Form VII — Notice of Weekly Holiday: Display of weekly closure day
- Overtime register: Overtime hours and payments
- Employee identity register: Names, addresses, wages, dates of joining
Our Compliance Retainer includes ready-to-use templates in state-prescribed formats.
What about EPF / ESI thresholds?
Separate labour laws that auto-trigger by employee count, independent of Shop Act:
- EPF (Provident Fund): Mandatory when establishment reaches 20 employees (any category). Contribution: 12% employer + 12% employee on basic wages.
- ESI (Employees' State Insurance): Mandatory when establishment reaches 10 employees earning ≤ ₹21,000/month. Contribution: 3.25% employer + 0.75% employee on gross wages.
- Both: Once triggered, mandatory even if you later go below the threshold, unless formally exited via labour dept.
Shop Act declaration must match your actual employee count — under-declaring here to avoid EPF/ESI is a compounding risk.
What if I add or remove employees?
Some states require amendment if employee count changes across slab boundaries (e.g., 10→11, 25→26, 50→51). Others accept the change at next renewal.
When to amend:
- Change of address (mandatory in all states)
- Change of ownership/partners/directors (mandatory)
- Change of establishment name (mandatory)
- Employee count crosses slab boundary (state-specific)
Amendment fee: Usually ₹100-₹500 depending on state. Processing 3-10 days.
Our compliance retainer includes 2 free amendments per year.
Can I run business from home under Shop Act?
Yes — home offices and home-based businesses qualify in most states, provided:
- Address is used for commercial activity (not purely residential)
- Documentation shows business activity from that address (invoices, letterheads)
- State portal allows the "home office" or equivalent category
State variations: Delhi and Maharashtra explicitly allow home offices. Some states require a formal residential-to-commercial address conversion via municipal authority first.
Home bakeries, freelancers, consultants, tiffin services — all can register under Shop Act with home address (subject to state confirmation).
Do I need Shop Act for multiple outlets?
Yes — one Shop Act per premises, generally. A restaurant chain with 6 outlets across 3 states needs 6 separate registrations (or state-consolidated where allowed).
Sub-cases:
- Same state, multiple cities: Depends on state rules — some allow single state licence, others require per-city
- Different states: Always separate registrations, per state Act
- Same city, multiple premises: Separate registrations for each premises
- Warehouse + office in same state: Some states allow single, others require per-location
Our Multi-Location tier handles bulk parallel filings with bulk discounts.
What about seasonal businesses?
Seasonal businesses still need Shop Act during operating months. But some states offer seasonal registration at reduced fee for shorter validity (usually 6 months).
Examples:
- Beach shacks in Goa (seasonal)
- Char Dham route shops in Uttarakhand (May-October)
- Ski resort commercial establishments in HP + Uttarakhand
- Beach volleyball concessions
Requires prior declaration of seasonal operation dates. Fee usually 50-70% of annual rate for equivalent slab.
Can I transfer Shop Act if I move premises?
Yes — via amendment (address change). Most states allow address change within the same state via portal amendment. Cross-state relocation requires fresh registration in the new state + surrender of old certificate.
Within-state relocation process:
- File amendment application on state portal
- Upload new premises address proof
- Pay amendment fee (usually ₹100-₹500)
- Updated certificate issued in 3-10 days
Cross-state relocation: Surrender old + apply fresh in new state. Total time ~15-30 days.
