What is a One Person Company?
In one line: the only Indian company structure that allows a single person to be both sole shareholder and sole director, with limited liability and built-in succession via a nominee.
A One Person Company is a corporate structure under Section 2(62) of the Companies Act, 2013, introduced on 1 April 2014. Unlike a Pvt Ltd (which needs 2+ shareholders) or an LLP (which needs 2+ partners), an OPC lets a single person own and manage everything — you're the sole shareholder, the sole director, and the sole beneficiary.
The catch: you must appoint a nominee via Form INC-3 at incorporation. If you become incapacitated or pass away, this nominee automatically becomes the sole member. Your company doesn't die with you — bank accounts, contracts, and GSTIN continue seamlessly.
Every OPC gets a unique 21-character CIN from MCA (with "OPC" in the category position, distinguishing it from PTC for Pvt Ltd), plus PAN and TAN. Compliance is simpler than a full Pvt Ltd — no AGM required, and annual return is filed in the simplified MGT-7A form. But statutory audit is mandatory Day 1 regardless of turnover.
Choose OPC if you're...
- You're a solo founder — no co-founder or partner planned
- You want a company structure (not proprietorship) for credibility
- You need limited liability protection for personal assets
- You're running a consulting, freelance, or professional practice
- You want a formal legal entity to sign contracts, open bank accounts, own IP
- You need company structure for enterprise clients or PSU vendors
Skip OPC if you're...
- You have or plan to have a co-founder — use LLP or Pvt Ltd
- You plan to raise VC / angel funding — VCs demand Pvt Ltd
- You're in banking, NBFC, insurance, or investment — OPC prohibited
- You're running a non-profit — use Section 8 Company
- You want FDI investment — FDI not allowed into OPC
- You want lower compliance than a real audit — try LLP instead
6 real benefits of OPC — beyond "limited liability"
The 2021 amendment made OPC much more attractive. Here's what it actually delivers.
Limited Liability, Solo Owner
Your personal assets — house, savings, car — stay safe if the business fails or is sued. Only your invested capital is at risk. Only structure in India that gives full LLL protection to a single founder.
Sole Ownership, Sole Control
Unlike LLP or Pvt Ltd, no co-founder disputes. You are the sole shareholder, sole director. All profits, all decisions, all direction stay with you. Cleanest possible ownership structure.
Corporate Credibility
"(OPC) Private Limited" in your name unlocks enterprise clients, PSU vendor registration, GeM portal, and bank credit lines that proprietorships can't access. Real professional standing.
Perpetual Succession via Nominee
The company doesn't die when you do. Your appointed nominee (Form INC-3) automatically becomes the sole member. Bank accounts, contracts, GSTIN continue. Your family isn't stuck.
No Turnover Cap Anymore
2021 amendment removed the mandatory conversion at ₹2Cr turnover or ₹50L capital. Grow to any size and stay OPC. December 2025 raised Small Company threshold to ₹100Cr turnover — OPC comfort zone is now huge.
Simpler Than Pvt Ltd
No AGM required. Only 1 board meeting per year needed. MGT-7A (simplified annual return) instead of full MGT-7. 30% flat tax, but far less paperwork than a full Pvt Ltd.

What each part of your OPC's CIN means
Your Corporate Identification Number is 21 characters that encode your listing status, industry, state, year, and — critically for OPCs — your company category.
Your first 30-180 days — non-negotiable actions
Getting the COI is Day 0. The clock starts. INC-20A within 180 days is the harshest deadline — miss it and you're looking at ₹50,000 fine + ₹1,000/day per director.
Appoint Statutory Auditor (ADT-1)
Form ADT-1 mandatory within 30 days. Auditor serves till first AGM. OPCs MUST have an auditor Day 1 regardless of turnover — no exemption.
Non-compliance: ROC scrutiny + finesHold First Board Meeting
Section 173 mandates within 30 days. Draft minutes. For OPC with 1 director, resolutions are entered in minutes book — legally sufficient.
Must be minuted properlyFile INC-20A
Declaration of commencement of business. Bank account opened + capital deposited. Fine: ₹50,000 company + ₹1,000/day per director.
One of India's harshest penaltiesAnnual MGT-7A + AOC-4
Annual return in simplified MGT-7A form (OPCs get exemption from full MGT-7). AOC-4 (financials) due 27 September. Both mandatory even for zero-activity OPCs.
Late fee ₹100/day/form6 common OPC mistakes — and how to avoid them
In 10+ years of OPC practice, these are the top blunders solo founders make. Getting these wrong costs ₹50k+ in penalties.
Not appointing a real nominee
Some founders name a distant cousin or "any friend" as nominee. When you actually pass away or lose capacity, this person has no idea and can't/won't take over. The company gets stuck in probate.
Choosing OPC when you plan to fundraise in <2 years
OPCs can't issue equity. Every serious investor demands Pvt Ltd. Conversion adds 30-45 days + ₹15-25k cost + governance changes right when you're raising.
Assuming statutory audit isn't needed
Common myth: "small OPC, low turnover, no audit". WRONG. Every OPC must have a statutory auditor from Day 1, regardless of turnover or activity. Audit fee ~₹8-15k/year even for zero-activity OPCs.
Missing the INC-20A deadline
The 180-day declaration is missed by ~40% of solo OPC founders — they're focused on business, forget the form. Fine: ₹50,000 company + ₹1,000/day per director. On top of that, you legally can't start business without it.
Trying to have 2 OPCs
One person can be member of only 1 OPC. If you register a second, it will be rejected — or worse, both get flagged. Same for nominee: you can be nominee of only 1 OPC.
Not planning for growth conversion
While 2021 removed mandatory conversion, if you cross ₹2Cr turnover / ₹50L capital and want a co-founder or VC, you'll need to convert to Pvt Ltd anyway. Delay = penalty on tax positioning.

The Tax Paramarsh desk
"OPCs are the most misunderstood structure in India. Most founders don't know that the 2021 amendment removed the mandatory conversion at ₹2 crore turnover — you can now grow an OPC to any size. And the biggest mistake we see? Founders who name a random nominee, then that person has no idea what to do when it actually matters. We help you pick the right nominee, structure the succession properly, and stay compliant Day 1 to year 10. Every registration is checked by a qualified professional before filing."

Common questions
Straight answers. Still curious? WhatsApp us anything.
What is a One Person Company (OPC)?
Introduced under Section 2(62) of the Companies Act, 2013 (effective 1 April 2014), an OPC is the only Indian company structure that allows a single person to be both the sole shareholder and sole director. It combines: (1) limited liability of a company, (2) separate legal entity, (3) perpetual succession via a mandated nominee, and (4) simplified compliance vs a full Pvt Ltd.
Name must include "(OPC) Private Limited". Example: "Sharma Consulting (OPC) Private Limited".
Who can register an OPC?
Only a natural person who is an Indian citizen and resident. "Resident" means stayed in India 182+ days during the immediately preceding FY. Post-2021 amendment, NRIs are also eligible if they stayed 120+ days.
Prohibited: minors, foreign citizens who don't meet residency, corporates, and existing OPC members (one person = only 1 OPC).
Do I need a nominee?
Yes, mandatory. You must appoint one nominee at incorporation via Form INC-3. If you become incapacitated or pass away, the nominee automatically becomes the sole member of the OPC. The company continues operating — this is your business succession plan built into the structure.
The nominee must be an Indian resident (182+ days), aged 18+, with PAN and Aadhaar. One person can be nominee to only 1 OPC.
What businesses are prohibited?
OPCs cannot conduct: (1) NBFC / banking activities, (2) Insurance business, (3) Investment company activities (investing in other companies' securities), (4) Non-profit / charitable purposes (use Section 8 Company), (5) Corporate agency of insurance.
Everything else is fine — consulting, professional services, D2C brands, manufacturing, IT services, retail, food, etc.
Total cost for OPC registration in 2026?
Realistic all-in cost ₹8,000-15,000. Breakdown: (1) MCA fees ₹0 for capital up to ₹15L (2020 waiver still active), (2) State stamp duty ₹500-1,500, (3) DSC ₹2,500, (4) Our professional fee ₹6,999, (5) GST 18% extra.
Compare: OPC ₹8-15k vs Pvt Ltd ₹8-16k vs LLP ₹5-15k. OPC is priced similar to Pvt Ltd because SPICe+ process is identical.
Annual compliance cost for OPC?
₹15,000-25,000/year. Includes: statutory audit (mandatory Day 1) ₹8-15k, MGT-7A + AOC-4 filings ₹3-5k, ITR-6 ₹3-5k, DIR-3 KYC ₹500. This is HIGHER than LLP annual compliance because OPC audit is mandatory regardless of turnover.
Our Essentials retainer bundles all of this at ₹5,500/month with dedicated advisor + WhatsApp support.
Is minimum capital required?
No minimum authorised capital mandated. Same as Pvt Ltd — you can incorporate with ₹1 lakh authorised + ₹10,000 paid-up. Recommend ₹1 lakh authorised as it satisfies most banks' current account opening requirements.
Do you charge for name changes if rejected?
Up to 3 rounds of MCA rejections handled free. We'll suggest alternatives and re-file with corrections at no extra charge.
How long does OPC registration take?
7-10 working days from complete documents. Breakdown: Day 1-2 (DSC + video KYC), Day 3-5 (Name via MCA), Day 5-8 (SPICe+ + Nominee INC-3), Day 8-10 (COI + CIN + PAN + TAN). Slightly faster than Pvt Ltd because only 1 director's KYC.
Do I need to visit your office?
No. Entirely remote via WhatsApp, email, and video KYC. Nominee's consent (INC-3) also handled remotely — we send them the form for e-sign or digital signature.
Can I change my nominee later?
Yes. Nominee changes require filing Form INC-4 with the new nominee's consent (fresh INC-3). Small MCA fee. We handle this for ₹1,999. Suggested reasons: nominee moved abroad, relationship changed, better succession candidate available.
Can foreign national register an OPC?
Only if they meet the "resident in India" test — 182+ days stay in previous FY (or 120+ days as NRI post-2021 amendment). Foreign citizens who don't meet this can't register OPC — consider a Pvt Ltd with resident co-founder instead.
What annual filings are needed for OPC?
Every OPC must file: (1) MGT-7A (Annual Return, simplified for OPCs) by 30 May, (2) AOC-4 (financials) by 27 September, (3) ITR-6 by 31 October (with audit), (4) DIR-3 KYC by 30 September for the sole director, (5) ADT-1 if auditor is being reappointed, (6) Statutory audit report from CA.
All required even for zero-activity dormant OPCs. Late fee ₹100/day per form (capped for OPCs).
Is audit really mandatory from Day 1?
Yes. Statutory audit under Companies Act is mandatory for every OPC regardless of turnover — even ₹0 turnover requires an audit. This is the biggest compliance difference vs LLP (which is audit-free under ₹40L turnover).
Budget for a practising CA from Day 1. Audit fee ₹8,000-15,000/year for small OPCs.
What is INC-20A and when to file?
Declaration of commencement of business — mandatory within 180 days of COI. Requires: bank account opened, subscribed capital deposited from personal funds into company account. Penalty: ₹50,000 on company + ₹1,000/day per director (max ₹1L per director). One of India's harshest penalties.
Do OPCs need to hold AGM?
No — this is one of OPC's biggest advantages. Section 122 of Companies Act exempts OPCs from AGM. Sole shareholder = no meeting needed. But you must hold minimum 1 board meeting per year (or 2 if there are 2+ directors, which OPCs can add later).
Any resolution required by the Companies Act is passed by the sole member entering it into the minutes book — legally sufficient.
Do I have to convert to Pvt Ltd if turnover crosses ₹2Cr?
NO — this changed in 2021. The Companies (Incorporation) Second Amendment Rules, 2021 (effective 1 April 2021) removed the mandatory conversion at ₹50L capital or ₹2Cr turnover. Your OPC can now grow to any size and remain an OPC.
The old rule that forced conversion after crossing ₹2 crore was removed on 1 April 2021. Additionally, 1 December 2025 notification raised Small Company threshold to ₹100Cr turnover — OPCs get further exemptions.
Conversion is now purely voluntary. Convert when you want a co-founder or VC funding — not because of turnover.
Can OPCs receive FDI?
No. FDI is not permitted into OPCs. This is a hard structural limitation. If you plan to receive any foreign investment (even from an NRI cousin's USD account), you must first convert to Pvt Ltd.
OPC vs proprietorship — which one?
Proprietorship wins: setup cost ₹3-5k vs ₹8-15k, no annual audit (saves ₹15k/yr), zero MCA filings, minimal compliance. Great for turnover under ₹10L, no big-client aspirations.
OPC wins: limited liability protection (huge for anyone with personal assets), corporate credibility for enterprise/PSU clients, perpetual succession via nominee, easier bank credit, professional standing.
Rule of thumb: crossing ₹20L turnover OR working with enterprise clients OR have personal assets to protect → OPC. Otherwise → proprietorship.
Can I convert OPC to LLP or Section 8?
OPC → Pvt Ltd: Yes, via Form INC-6. Voluntary after 2 years, or immediately if capital/turnover crosses old thresholds. Our fee ₹15-25k.
OPC → LLP: Not a direct route. Would need to convert to Pvt Ltd first, then Pvt Ltd → LLP conversion.
OPC → Section 8: Prohibited. OPC cannot convert to non-profit structure.
