What is a Nidhi Company?
In one line: a mutual-benefit finance company registered under Section 406 of the Companies Act, 2013 — the only NBFC-like entity exempt from RBI oversight.
A Nidhi Company is a mutual-benefit finance company registered under Section 406 of the Companies Act, 2013 and governed by Nidhi Rules 2014 (as amended by the 2019 and 2022 Amendment Rules). The word "Nidhi" means "treasure" in Sanskrit — the concept dates back to pre-independence India.
Nidhi Companies accept deposits only from members and lend only to members — operating as a mutual benefit society structured as a Public Limited Company. They are the only NBFC-like entity exempt from RBI oversight — regulated entirely by MCA.
2022 amendment modernised the framework: introduced fit-and-proper director criteria, doubled minimum paid-up capital to ₹10 lakh, extended NDH-4 filing deadline to 120 days, and — critically — added 45-day deemed approval on NDH-4. Previously companies waited 1-2 years for MCA response.
The trade-off: Nidhi structure is 10× cheaper than an NBFC (no ₹2 crore RBI capital, no RBI licence) but you can lend ONLY to members. Perfect for community-based lending — village cooperatives, employee groups, trader associations, professional bodies.
Choose Nidhi if you're...
- You want to run a mutual-benefit finance company for savings/loans among members
- You want an NBFC-like structure WITHOUT RBI registration overhead
- You have a defined community (village, cooperative, association) that will fund 200 members within a year
- You have ₹20 lakh initial capital available (NOF requirement)
- You accept the "lend only to members" restriction as a feature, not a bug
- You have promoters/directors clean of criminal, insolvency, or NBFC-regulatory history
Skip Nidhi if you're...
- You want to lend to the general public — use an NBFC-MFI licence instead
- You can't hit 200 members + ₹20L NOF within 120 days — MCA will reject NDH-4
- You want to accept public deposits — Nidhi accepts deposits ONLY from members
- You want to trade in shares, insurance, chit funds, or hire purchase — Rule 6 prohibits all these
- Your directors sit on 5+ existing Nidhi boards — "fit and proper" test fails
- You want simple annual compliance — Nidhi has half-yearly NDH-1 + NDH-3 filings
6 real benefits of Nidhi Company
The 2022 amendment turned Nidhi from a slow, opaque process into a modern regulatory framework. Here's what it actually delivers.
No RBI Registration Needed
Under Section 406 Companies Act 2013, Nidhi Companies are exempt from RBI oversight — unlike NBFCs which require RBI licence + ₹2 crore net owned fund. Nidhi lets you run a member-only finance business at 1/10th the regulatory burden.
Mutual Benefit Model
Members pool savings via FDs and RDs; the corpus is lent back to members at regulated rates. Interest on deposits capped at 2% above bank RD rates; lending capped at 7.5% above deposit rate. Structural protection against member exploitation.
Limited Liability + Public Company
Being a Public Limited Company gives you limited liability for shareholders AND corporate credibility for member trust. Better than cooperative societies (state-regulated, weaker liability protection) for scaling operations.
Cooperative Society Alternative
For entities that want cooperative-like member benefit but with MCA regulation, national recognition, and standard company law — not state cooperative laws that vary widely. One legal framework across India.
Regulated Interest Rates
Rule 15 caps lending at 7.5% above highest deposit rate — protects members. Rule 14 caps deposit accumulation at 20x NOF — protects the company. Rule 20 restricts unsecured lending to ₹2L per member — protects the corpus.
45-Day Deemed Approval
2022 amendment introduced a 45-day timer on NDH-4 approval. If Central Government doesn't respond in 45 days, your application is DEEMED approved. No more waiting 1-2 years for the declaration.

Nidhi Company vs Section 8 vs Pvt Ltd vs Cooperative Society
Honest side-by-side. Nidhi is the right fit only for a very specific use case — member-only savings and lending. For most other purposes, one of the alternatives is better.

₹10L → ₹20L NOF → Operations Live
Nidhi is a threshold-based structure. Miss any threshold and MCA rejects your Nidhi status. Here's the roadmap.
Your first 165 days — non-negotiable milestones
Getting the COI is Day 25. The real work is Days 30-120 — onboarding 200 members and reaching ₹20L NOF. Miss the Day 120 NDH-4 deadline and your company is stranded.
Deposit ₹10L paid-up capital
Open bank current account with COI + CIN + director KYC. Deposit ₹10 lakh paid-up capital from subscriber accounts within 30 days. This is the minimum equity — you'll need to grow to ₹20L NOF within 120 days.
Bank a/c blocks operations if delayedOnboard first 100 members
Draft membership rules per Rule 5 of Nidhi Rules 2014. Aim for at least 100 members by day 60 — halfway to the mandatory 200. Draft standardised member application, deposit forms, and RD/FD registers.
200 members needed for NDH-4File Form NDH-4 (CRITICAL)
File NDH-4 to MCA declaring Nidhi status. Requires: 200+ members, ₹20L NOF (paid-up capital + free reserves), fit-and-proper declarations, and Rule 3B compliance. Central Government has 45 days to approve — deemed approved after that.
Cannot operate as Nidhi without NDH-4File Form 20A + start operations
Once NDH-4 approved (or deemed approved), file Form 20A (commencement of business declaration) with ROC. Only after this can you accept deposits + lend money. Any activity before this = violation of Section 10A.
Section 10A fine + ROC action6 common Nidhi mistakes — and how to avoid them
In 10+ years of Nidhi practice, these are the top blunders. The 2022 amendment made 3 of them more painful — miss them now and NDH-4 is rejected.
Not planning 200 members + ₹20L NOF ahead of time
This is the #1 killer. The 2022 amendment made these NDH-4 prerequisites — not "goals for later". Companies that incorporate first and figure out members afterward get their NDH-4 rejected and end up with a stranded, non-operational company.
Wrong company type — Pvt Ltd instead of Public
Nidhi MUST be a Public Limited Company under Section 406. Some founders mistakenly incorporate as Pvt Ltd and then find they can't file NDH-4. Conversion is complex and delays operations by 3-6 months.
Director "fit and proper" test failure
2022 amendment added strict disqualifications. Any director/promoter with criminal record, insolvency, RBI/SEBI action, or 5+ existing Nidhi directorships gets NDH-4 rejected. Common trap: influential local businessman with old cases.
Lending outside members / accepting public deposits
Rule 6 strictly prohibits lending to non-members, accepting deposits from non-members, opening current accounts with members, dealing in shares, insurance, chit funds, hire purchase, or leasing. Doing any of these = licence revocation + prosecution.
Ignoring NDH-1 + NDH-3 half-yearly filings
Every Nidhi must file NDH-1 (membership/deposit return) every 6 months. Penalty ₹200/day per form — NO cap. Miss 4 half-years and you're looking at ₹1.4 lakh in penalties from a single form.
Interest rates exceeding regulated caps
Rule 15 caps lending interest at 7.5% above highest deposit rate. Rule 14 caps deposits at 20x NOF. Rule 20 caps unsecured loans at ₹2L per member. Breaching any of these triggers regulatory action + member complaints.

The Tax Paramarsh desk
"Nidhi is a beautiful structure — regulated but not RBI-burdened. But it's also the most-misunderstood corporate structure in India. Most founders try to incorporate first and figure out members later — the 2022 amendment made that fatal. NDH-4 requires 200 members + ₹20L NOF within 120 days, or your Nidhi status is denied. We've set up 5,000+ Nidhi Companies — including village cooperatives, employee groups, trader associations. Every one goes through fit-and-proper checks first. We've had zero NDH-4 rejections since the 2022 rules kicked in."

What is a Nidhi Company?
A Nidhi Company is a mutual-benefit finance company registered under Section 406 of the Companies Act, 2013 and governed by Nidhi Rules, 2014 (as amended by the 2019 and 2022 Amendment Rules). The word "Nidhi" means "treasure" in Sanskrit.
Nidhi Companies accept deposits only from members and lend only to members — operating as a mutual benefit society in the form of a Public Limited Company. They are the only NBFC-like entity exempt from RBI oversight — regulated entirely by MCA.
How is Nidhi different from an NBFC?
An NBFC (Non-Banking Financial Company) requires RBI licence, ₹2 crore minimum NOF, and can lend to the general public. A Nidhi has NO RBI oversight, needs only ₹20 lakh NOF, but can lend ONLY to its own members.
Rule of thumb: if your business model is community-based (village, cooperative, association, employee group) with a defined member pool, Nidhi is 10× cheaper. If you want to lend to the general public, you need an NBFC licence.
Is registration under Nidhi different from getting Nidhi status?
Yes — this is a TWO-STEP process that most founders miss. Step 1: Incorporate as a Public Limited Company with "Nidhi Limited" in the name (20-25 days via SPICe+). Step 2: Within 120 days, file Form NDH-4 to be declared a Nidhi by the Central Government (45-day approval).
Between Step 1 and Step 2 approval, you CANNOT accept deposits or lend money. Post-NDH-4 approval + Form 20A filing, you can start operations.
What are the minimum member and capital requirements?
Under Rule 4 + Rule 5 of Nidhi Rules 2014 (as amended in 2022):
- At incorporation: Minimum 7 subscribers, minimum 3 directors, minimum ₹10 lakh paid-up equity share capital.
- Within 120 days for NDH-4: Minimum 200 members and minimum ₹20 lakh Net Owned Funds.
- Ongoing: 200 members must be maintained throughout the year. NOF-to-deposit ratio maximum 1:20.
Total cost for Nidhi Company registration in 2026?
₹18,000-30,000 all-in for the full setup. Breakdown: (1) Our professional fee ₹28,000. (2) MCA fees ₹2,500-5,000 (higher than Pvt Ltd because public company + 3 directors). (3) State stamp duty on MOA/AOA ₹1,000-3,000. (4) DSC for 3 directors ₹7,500. (5) GST 18% on professional fee.
This does NOT include the ₹10 lakh paid-up capital and ₹20 lakh NOF you'll need to actually deposit. That's your operational capital, not a fee.
How much capital do I actually need to start?
Minimum ₹20 lakh in real money, phased as follows: (1) At incorporation, ₹10 lakh paid-up equity capital deposited within 30 days into bank current account. (2) By Day 120, total NOF of ₹20 lakh (paid-up + free reserves) for NDH-4 filing.
NOF is calculated per Rule 3(d) as: Paid-up Equity Share Capital + Free Reserves – Accumulated Losses – Intangible Assets.
Annual compliance cost for a small Nidhi?
₹25,000-45,000/year for a small Nidhi (turnover under ₹1 crore). Includes: statutory audit ₹12-20k, NDH-1 + NDH-3 half-yearly filings ₹4-6k, AOC-4 + MGT-7 + ITR-6 ₹5-8k, DIR-3 KYC ₹500, member register maintenance.
Highest annual compliance among all business structures — because Nidhis are a regulated financial entity with member protection as the core mandate.
Do you charge for the 200-member onboarding drive?
Not in the standalone package. We can add a "membership growth" module at ₹15,000 that provides onboarding forms, digital signup infrastructure, and process templates. Most clients handle their own community outreach and use our forms.
Full timeline from Day 0 to first deposit?
Realistic: 170-200 days total.
- Day 0-25: Public Limited Company incorporation via SPICe+ (COI + CIN)
- Day 25-30: Bank account opening + ₹10L capital deposit
- Day 30-120: Onboard 200 members + reach ₹20L NOF
- Day 120: File Form NDH-4
- Day 120-165: Central Government review (45 days max, then deemed approved)
- Day 165-170: File Form 20A commencement declaration
- Day 170+: Start accepting deposits + lending to members
What if we can't reach 200 members in 120 days?
Per Rule 5, if you cannot achieve 200 members within the initial period, you can apply to the Regional Director for an extension of 1 year. However, if you still fail after the extension, the company must be de-notified as a Nidhi and stop financial operations.
The realistic ask is that you plan your community outreach BEFORE incorporation. We help build the outreach plan as part of our engagement.
Is deemed approval reliable?
Yes, per Rule 3B of the 2022 amendment: if the Central Government does not communicate a decision within 45 days of NDH-4 filing, the application is legally deemed approved. This is a huge simplification — previously companies waited 1-2 years without response.
Deemed approval is a legal right, not a bureaucratic accident. Post-45 days without response, you can file Form 20A citing deemed approval and start operations.
Can I run the Nidhi from a single office?
Yes at incorporation. Once operational, if you want to open branches, you must file Form NDH-2 with the Regional Director. Cannot open more than 3 branches within the district of registered office. Cannot open branches outside the state without RD approval and 3 years of profitable operations.
What interest rates can a Nidhi charge?
Under Nidhi Rules:
- Deposit interest (Rule 13): Maximum 2% above the highest rate offered on savings deposits by nationalised banks.
- Lending interest (Rule 15): Maximum 7.5% above the highest rate the Nidhi offers on its own deposits.
Example: if your highest FD rate is 10%, maximum loan rate is 17.5%. This is a hard cap — breach triggers regulatory action.
What activities are prohibited?
Rule 6 explicitly prohibits: (1) chit funds, (2) hire purchase finance, (3) leasing finance, (4) insurance business, (5) acquiring securities of any body corporate, (6) issuing preference shares/debentures/other debt instruments, (7) opening current accounts with members, (8) accepting deposits from or lending to any person other than members, (9) carrying on business other than borrowing/lending in its own name.
Doing any of these = licence revocation + Section 406 penalties.
How much can a member borrow?
Under Rule 20:
- Total deposits < ₹2 crore: Loans up to ₹2 lakh per member
- Deposits ₹2-20 crore: Loans up to ₹7.5 lakh per member
- Deposits ₹20-50 crore: Loans up to ₹12 lakh per member
- Deposits > ₹50 crore: Loans up to ₹15 lakh per member
Loans can be secured against gold, immovable property, or fixed deposits with the Nidhi. Unsecured loans are permitted only up to ₹2 lakh per member.
What is the NOF-to-deposit ratio?
Rule 14 caps this at 1:20. For every ₹1 of Net Owned Fund, you can hold maximum ₹20 in deposits. Example: with ₹20 lakh NOF, maximum deposits = ₹4 crore.
Additionally, 10% of outstanding deposits must be kept as unencumbered term deposits with a scheduled commercial bank — as a liquidity buffer.
What are the annual filings for a Nidhi?
Every Nidhi must file:
- NDH-1 (Return of statutory compliances) — half-yearly, within 90 days of 31 March and 30 September
- NDH-3 (Return of Nidhi membership) — half-yearly, same deadlines
- AOC-4 (Financial statements) — within 30 days of AGM
- MGT-7 (Annual return) — within 60 days of AGM
- ITR-6 (Income tax return) — 31 October
- DIR-3 KYC — 30 September for each director
- Statutory audit — mandatory Day 1
What are the penalties for non-compliance?
NDH-1 late filing: ₹200/day per form, NO upper cap. Miss 2 half-years = ₹1,46,000 penalty from a single form.
Rule 6 violation (prohibited activity): licence revocation + Section 406 penalty up to ₹10 lakh + directors' personal liability.
Fit-and-proper violation: Director disqualification + MCA scrutiny of all his other directorships.
Is statutory audit mandatory for Nidhi?
Yes, from Day 1. Being a public company under Section 406, statutory audit is mandatory regardless of turnover. First auditor appointed via ADT-1 within 30 days of incorporation. Audit fee typically ₹12,000-25,000/year for small Nidhis.
Can a Nidhi be converted to another structure?
No easy conversion. A Nidhi cannot be converted to a Pvt Ltd, Section 8, or LLP directly. The only options are: (1) voluntary winding up under Companies Act with member consent, or (2) merger with another Nidhi under Rule 19 (needs RD approval).
This is by design — Nidhi is a specific regulated structure with member deposits at stake. You cannot convert away from member protection obligations.
