What is Udyam Registration?
In one line: the Government of India's official MSME credential — free, permanent, delivers ₹5L-5Cr+ in benefits over the enterprise lifetime.
Udyam Registration is the Government of India's official MSME registration system, replacing the older UAM (Udyog Aadhaar Memorandum) and EM-II system from 1 July 2020. Regulated by the Ministry of MSME under the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006.
The certificate — Udyam Registration Certificate (URC) — comes with a unique 19-digit registration number and lives on the Udyam portal (udyamregistration.gov.in). It's the single gateway to every MSME benefit: Section 43B(h) payment protection, CGTMSE collateral-free loans, 25% procurement reservation, subsidies, Samadhaan portal.
Union Budget 2025-26 revised the classification thresholds 2.5× (effective 1 April 2025) — many enterprises that were "Small" under old limits now qualify as "Micro" under new limits. Micro + Small get Section 43B(h) protection; Medium doesn't.
Universal eligibility: Unlike DPIIT startup recognition (which excludes proprietorships and HUFs), Udyam accepts every Indian entity type — proprietorship, HUF, partnership, LLP, Pvt Ltd, cooperative, Section 8, trust. Manufacturing, services, and trading (since 2 July 2021) all covered.
Choose Udyam if you...
- You want Section 43B(h) protection — buyers MUST pay you within 45 days or lose tax deduction
- You want collateral-free loans up to ₹10 crore via CGTMSE (limit doubled from April 2025)
- You want 25% Central Government procurement reservation (Section 25 Public Procurement Policy)
- You want 2% interest subvention on manufacturing loans + 50% patent/trademark rebate
- You want the MSME Samadhaan portal to recover delayed payments with 3× RBI interest
- You want PMEGP subsidy (15-35%) + ISO reimbursement (₹75k) + electricity subsidies
Skip Udyam if you...
- Your turnover exceeds ₹500 crore in any year (Medium enterprise ceiling)
- Your investment in plant/machinery exceeds ₹125 crore (Medium ceiling)
- You're a service business only interested in DPIIT startup recognition — get both, they're free and independent
- You're a purely digital/software business with no fixed assets — Udyam classification favours you, apply anyway
What Udyam actually unlocks — with statutory citations
Every benefit tied to a specific section of law. Not marketing — statutory protection.
Section 43B(h) Payment Protection
NEW: Section 43B(h) Income Tax Act (inserted by Finance Act 2023, effective 1 April 2024 for AY 2024-25) — buyers who don't pay Micro/Small MSMEs within 45 days cannot claim tax deduction for that expense. Massive leverage against slow-paying buyers. Only applies to Udyam-registered Micro + Small enterprises.
CGTMSE Collateral-Free Loans up to ₹10 Cr
Credit Guarantee Trust for Micro & Small Enterprises (CGTMSE) provides collateral-free bank loans up to ₹10 crore (doubled from ₹5 crore on 1 April 2025). Credit guarantee: 85% for micro loans up to ₹5L, 75% for others. Bank cannot demand personal collateral or property.
25% Government Procurement Reservation
Under Section 25 Public Procurement Policy for MSEs — 25% of Central Government purchases mandatorily reserved for Micro & Small Enterprises. Plus 4% for SC/ST-owned MSEs and 3% for women-owned MSEs. GeM portal preferences: exemption from prior experience, turnover, EMD.
2% Interest Subvention + Subsidies
2% interest subvention on bank loans (5-year window) for MSME manufacturers · additional 2% for MSME exporters · PMEGP margin money subsidy 15-35% · ISO certification reimbursement up to ₹75,000 · state electricity bill subsidies.
IP Rebates + Fast-Track
50% rebate on trademark filing fees · 50% rebate on patent filing fees (separate from the DPIIT startup 80% rebate — MSMEs use MSME channel). Fast-track examination on both. Save ₹30,000-1L on each IP filing.
MSME Samadhaan Portal
Dedicated dispute resolution portal (samadhaan.msme.gov.in) for recovering delayed payments. Under Section 15 of MSMED Act 2006, buyers must pay within 45 days (or agreed timeline, whichever earlier) or pay compound interest at 3× RBI bank rate. Governed by Micro & Small Enterprise Facilitation Council (MSEFC).

Old vs New Limits — what Union Budget 2025-26 changed
Every threshold raised 2.5× effective 1 April 2025. Massive relief for growing MSMEs.
Your first 60 days — non-negotiable next steps
URC certificate is Day 0. The real value comes from Section 43B(h) invoice deployment + CGTMSE + GeM + Samadhaan. Miss any and you leave real money on the table.
Download + verify Udyam Certificate
Udyam Registration Certificate (URC) issued with unique 19-digit registration number. Download PDF, verify classification (Micro/Small/Medium), save to compliance folder. Certificate remains valid — no renewal needed.
URC number required for CGTMSE + GeM + SamadhaanEnable Section 43B(h) buyer protection
Update all invoices to display Udyam classification (Micro/Small/Medium) + URC number. Notify existing buyers that Section 43B(h) now applies — 45-day payment window or they lose tax deduction. This is your biggest leverage.
Only Micro+Small get 43B(h) — Medium doesn'tRegister on GeM + apply CGTMSE
Register on Government e-Marketplace with URC — unlocks 25% procurement reservation. Simultaneously apply CGTMSE via your bank for collateral-free working capital / term loans up to ₹10 Cr.
GeM verification takes 10-15 daysSamadhaan portal + PMEGP planning
Register on samadhaan.msme.gov.in for delayed payment recovery. If manufacturing + rural/urban PMEGP-eligible sector, apply for 15-35% margin money subsidy (loan up to ₹50L for services, ₹1 Cr for manufacturing).
PMEGP is competitive — apply early6 common Udyam mistakes — and how to avoid them
The biggest one: not migrating from old UAM/EM-II. Enterprises still using old numbers are legally NOT MSMEs — no benefits.
Wrong classification declaration
The revised 2025 classification (Micro ₹2.5Cr/₹10Cr · Small ₹25Cr/₹100Cr · Medium ₹125Cr/₹500Cr) is composite — BOTH investment AND turnover must be within limits. Founders sometimes read only one criterion and declare wrong. Wrong classification = benefits denied + potential penalty.
Not migrating from old UAM/EM-II
Udyam Registration replaced the old Udyog Aadhaar Memorandum (UAM) and EM-II system from 1 July 2020. All old registrations were required to migrate. Enterprises still using old UAM numbers are legally NOT MSMEs anymore — no Section 43B(h), no CGTMSE, no procurement reservation.
Ignoring Section 43B(h) invoice disclosure
Section 43B(h) only kicks in if the buyer KNOWS you're an MSME. If your invoice doesn't display Udyam classification and URC number, buyer can plausibly claim ignorance. Losing your biggest tool for collections.
Not using MSME Samadhaan for delayed payments
Samadhaan portal automatically triggers 3× RBI bank rate compound interest on delayed payments under Section 15 of MSMED Act. Most MSMEs suffer 90-180 day payment cycles silently. Samadhaan puts legal pressure — buyers usually settle within 30-45 days of complaint.
NIC code errors
National Industrial Classification code decides your sector. Wrong NIC = wrong classification (manufacturing vs service treatment), wrong subsidy eligibility (PMEGP has sector-specific rates), wrong tender preferences. Portal has 100+ codes — easy to pick wrong.
Composite criteria confusion
The tricky rule: if you exceed Micro limits, you move to Small. If you exceed Small, you move to Medium. You DON'T stay in Micro even if only turnover crossed. Common misconception: "I only crossed turnover, my investment is still ₹1 Cr so I'm still Micro." Wrong — both criteria apply.

The Tax Paramarsh desk
"Udyam is India's most underused business credential. Founders think it's a "paper certificate" — actually it's a ₹5L-5Cr+ package of statutory protections. Section 43B(h) alone (Finance Act 2023) has changed the collections game entirely — buyers pay MSMEs faster because delaying costs them tax deductions. CGTMSE cover up to ₹10 Cr (from April 2025) opened banking access to a whole tier of MSMEs. The Budget 2025-26 classification hike lets many "Small" enterprises drop back to "Micro" with lighter compliance. We handle Udyam registrations for all entity types — proprietorship to Pvt Ltd. Every invoice template we deliver has correct Section 43B(h) disclosure. That's the difference."

What is Udyam Registration?
Udyam Registration is the Government of India's official MSME registration system, replacing the older Udyog Aadhaar Memorandum (UAM) and EM-II system from 1 July 2020. Regulated by the Ministry of MSME under the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006.
The certificate — Udyam Registration Certificate (URC) — comes with a unique 19-digit registration number. It's the single gateway to all MSME benefits: Section 43B(h) payment protection, CGTMSE loans, procurement reservations, subsidies, and Samadhaan portal access.
Who can register as an MSME?
Any Indian entity — proprietorship, HUF, partnership firm, LLP, private limited company, cooperative society, Section 8 company, trust. Unlike DPIIT startup recognition (which excludes proprietorships), Udyam is universal.
Sector coverage: Manufacturing, services, and (from 2 July 2021) trading/retail. Choose the correct NIC (National Industrial Classification) code at registration.
What is the 2025 revised classification?
Union Budget 2025-26 (effective 1 April 2025) revised MSME classification with composite criteria (both must be met):
- Micro: Investment up to ₹2.5 Cr AND Turnover up to ₹10 Cr (was ₹1 Cr / ₹5 Cr)
- Small: Investment up to ₹25 Cr AND Turnover up to ₹100 Cr (was ₹10 Cr / ₹50 Cr)
- Medium: Investment up to ₹125 Cr AND Turnover up to ₹500 Cr (was ₹50 Cr / ₹250 Cr)
All thresholds effectively 2.5× the earlier limits. Huge relief for growing MSMEs — many that were Small are now Micro.
What is Udyam Assist for informal enterprises?
Udyam Assist Platform (UAP) is a 2025 addition for Informal Micro Enterprises (IMEs) — enterprises without formal documents like PAN, GST, or bank accounts. Over 90 lakh IMEs have been onboarded via UAP since launch.
UAP allows Aadhaar-only registration for very small businesses, gradually integrating them into the formal economy. Same benefits as Udyam but with simplified onboarding.
Is Udyam registration really free?
Yes, 100% free from government. The Udyam portal (udyamregistration.gov.in) charges ZERO government fees for registration, updates, migration from UAM/EM-II, or downloading the certificate. All benefits (43B(h), CGTMSE, procurement, subsidies) come at zero government cost.
Our professional fee is ₹499 for Udyam-only. We're fair-priced — competitors charging ₹5,000+ for pure Udyam are marking up basic filing work. Our value is correct NIC/classification, invoice template delivery, and post-URC roadmap.
What's the CGTMSE application cost?
Government fee: ZERO. CGTMSE guarantee fee is bundled in the loan by the bank (typically 0.5-1.5% p.a. of guaranteed amount, added to your loan interest).
Our fee: ₹5,000 add-on to Udyam or bundled in the MSME Package (₹9,999 for both). Covers: CGTMSE application prep, project report drafting, bank coordination up to disbursement, up to 3 rounds of bank clarification replies.
Given collateral-free loans up to ₹10 Cr are otherwise impossible for MSMEs without property, ROI is 100-1000×.
Any hidden costs?
None. Government fees are zero for Udyam + Samadhaan + GeM registration + subsidy applications. Our professional fee is one-time. Only additional cost is CGTMSE's bank-side guarantee fee (bundled in your loan interest) if you take that route.
Is annual renewal required?
No. Udyam Registration is a permanent classification. You DON'T need to renew it annually. However, if your investment or turnover crosses a threshold, you must update the portal so your classification reflects Small or Medium — this is important for compliance benefits.
Our MSME Compliance Retainer includes annual classification review — we flag threshold crossings before they cause benefit loss.
How long does Udyam registration take?
1-2 working days for standard cases. Realistic breakdown: Day 1 (Aadhaar + PAN verification, NIC code selection, data entry), Day 2 (URC issued). The portal is fully automated — no manual review under normal conditions.
If Aadhaar OTP fails or GST/PAN data doesn't match, add 2-5 days for correction. We aim for same-day issuance because we pre-validate all data before filing.
When should I apply for Udyam?
Immediately after incorporation / commencement of operations. Section 43B(h) protection kicks in ONLY from the date of registration — earlier receivables don't get 45-day protection retrospectively.
Also, procurement reservation percentages depend on the vendor being Udyam-registered at bid time. Late registration = lost tender opportunities.
What if my Aadhaar OTP fails?
Common issue: Aadhaar not linked to mobile OR wrong mobile OR OTP delayed. Fixes: (1) update Aadhaar mobile via UIDAI portal (24-48hr delay), (2) use alternate authorised signatory's Aadhaar if available, (3) offline verification via Aadhaar Enrolment Centre.
We troubleshoot all three paths — 99% cases resolved within 3 days.
Can I update classification if I grow?
Yes, and you MUST. If investment or turnover crosses a Micro/Small threshold, log into Udyam portal within 30 days and update. The portal auto-recalculates classification. Failing to update = benefits fraud, penalty under Section 27 MSMED Act.
Once you're "Medium", you lose Section 43B(h) protection (only Micro + Small qualify) but keep other benefits. Plan carefully — sometimes staying below thresholds is more valuable than growth.
What is Section 43B(h) exactly?
Section 43B(h) of the Income Tax Act, 1961 — inserted by Finance Act 2023, effective 1 April 2024 (AY 2024-25) — mandates that payments to Udyam-registered Micro and Small enterprises must be settled within 45 days of invoice (or the payment date agreed in writing, whichever is earlier).
If buyer doesn't pay in 45 days, they cannot claim that expense as a tax deduction — the deduction is deferred to the actual payment year. This is massive leverage: buyers will pay you fast because delaying costs them 25-30% tax on the unpaid amount.
Note: Medium enterprises DON'T get 43B(h) — only Micro and Small.
What is Section 15 of MSMED Act?
Section 15 MSMED Act 2006 is the parent provision: buyers must pay Micro/Small MSMEs within 45 days (or agreed timeline, whichever earlier). Section 43B(h) reinforces this with income tax consequences.
Section 16-18 provide the enforcement mechanism: compound interest at 3× RBI bank rate on delayed payments, dispute resolution via Micro & Small Enterprise Facilitation Council (MSEFC), and the online MSME Samadhaan portal (samadhaan.msme.gov.in).
How does CGTMSE work?
Credit Guarantee Trust for Micro & Small Enterprises (CGTMSE) provides credit guarantee cover to member banks lending to MSMEs without collateral. From 1 April 2025, the guarantee cap was doubled from ₹5 crore to ₹10 crore per borrower.
Coverage: 85% guarantee for micro loans up to ₹5 lakh; 75% for other loans. Bank cannot demand personal collateral or property mortgage for CGTMSE-covered loans.
Process: apply through your bank → bank forwards to CGTMSE for guarantee approval → loan disbursed with CGTMSE cover.
What government subsidies are available?
Common ones for Udyam-registered MSMEs:
- PMEGP: Prime Minister's Employment Generation Programme — margin money subsidy 15-35% (varies by category, area, sector). Loan up to ₹50L for services, ₹1 Cr for manufacturing.
- 2% interest subvention for MSME manufacturers on bank loans (5-year window)
- Additional 2% for MSME exporters
- ISO certification reimbursement up to ₹75,000
- MOFPI cold chain subsidy for food processing MSMEs
- State electricity subsidies (vary by state)
What is the Public Procurement Policy for MSEs?
Under Section 25 of MSMED Act, the Central Government mandates a 25% procurement reservation for Micro & Small Enterprises in all Central Government purchases. Within this 25%:
- 4% reserved for SC/ST-owned MSEs
- 3% reserved for Women-owned MSEs
PSUs and Central Government departments must publish annual procurement data on GeM portal. Non-compliance leads to reporting to Ministry of MSME.
How does the Samadhaan portal work?
MSME Samadhaan Portal (samadhaan.msme.gov.in) is the official dispute resolution platform. Register with your Udyam number. File a complaint if a buyer hasn't paid within 45 days.
The complaint auto-triggers a case at the Micro & Small Enterprise Facilitation Council (MSEFC) in the buyer's state. Conciliation for 15-30 days; if unresolved, arbitration. Awards typically include original amount + compound interest at 3× RBI bank rate from due date to payment date.
Do MSMEs get GeM portal preferences?
Yes. Government e-Marketplace (GeM) gives Udyam-registered MSMEs:
- Exemption from prior turnover requirements in tenders
- Exemption from prior experience requirements
- Exemption from Earnest Money Deposit (EMD)
- Priority in bid evaluation via tender preferences
These preferences apply to tenders up to ₹200 crore (as per current GeM policy). Higher-value tenders may still require experience/turnover proof.
Can I be Udyam AND DPIIT-recognised together?
Yes, absolutely — and you should if eligible. Both are free, cover different benefits, and are non-overlapping.
Udyam benefits: Section 43B(h), CGTMSE, procurement 25%, Samadhaan, PMEGP.
DPIIT benefits: Section 80-IAC 3-year tax holiday, angel tax exemption (now defunct), 80% patent rebate, SISFS grants up to ₹50L, Section 79 loss carry-forward.
